Creator Agreement

Sleebi will never play your videos without your permission. This permission is considered granted when you've gone through the following steps:

1. Agree to this Creator Agreement
2. Verify your channel
3. Intentionally share your Content on Sleebi through Sleebi Studio

This agreement becomes effective only after you've verified your channel, and clicked "Agree". Any channel whose videos appear on Sleebi has agreed to these terms and chosen to share their content. This can be reversed at any time by deleting videos or your channel from Sleebi.

Your use of Sleebi as a creator is still subject to our Terms of Service, Privacy Policy, and Paid Terms of Service (if applicable), unless otherwise specified. These documents, collectively referred to as the Terms, govern your overall relationship with Sleebi.

YOUR CONTENT

Uploading Content

If you have a Sleebi channel, you may be able to upload Channel Content (e.g. videos, audios and images). You may use your Channel Content to promote your business or artistic enterprise. You must not submit any Channel Content to Sleebi that does not comply with the Terms (including the User Conduct section in the Terms of Service) or the law. For example, the Channel Content you submit must not include third-party intellectual property (such as copyrighted material) unless you have permission from that party or are otherwise legally entitled to do so (including by way of any available exceptions or limitations to copyright or related rights provided for in European Union law). You are legally responsible for the Channel Content you submit to Sleebi. We may use automated systems that analyze your Channel Content to help detect infringement and abuse, such as spam, malware, and illegal content.

Rights you Grant

You retain all of your ownership rights in your Channel Content. In short, what belongs to you stays yours. However, we do require you to grant certain rights to Sleebi and its users, as described below.

Licence to Sleebi

By providing Channel Content, you grant Sleebi a worldwide, non-exclusive, non-transferable, royalty-free licence (including the right to sublicense solely to service providers, hosting partners, and networks operating on Sleebi's behalf) to use that Content (including to reproduce, distribute, modify, display, and perform it) for the purpose of operating, promoting, and improving Sleebi.

Sleebi will not sell, sublicense, or distribute your Content to third parties for standalone commercial exploitation (such as licensing to media outlets or training AI models) without your express written consent.

Licence to Other Users

You also grant each user of Sleebi a worldwide, non-exclusive, royalty-free licence to access your Content through Sleebi, and to use that Content (including to view, display, share, like, or cache for offline viewing) only as enabled by a feature of Sleebi.

Duration of Licence

The licences granted by you continue until the Content is removed as described below. Once removed, the licences will terminate, except where the operation of Sleebi, use of Content permitted before your removal, or the law requires otherwise. This does NOT include public access to your Content; which will cease immediately upon removal.

For example, removal of Content by you does not require Sleebi to: (a) recall Content that is being used by other users within any limited offline viewing functionality of Sleebi; or (b) delete copies we reasonably need to keep for legal purposes.

Right to Monetize

You grant to Sleebi the right to monetize the Content you chose to add to your Sleebi channel (and such monetization may include displaying ads before or around Content or charging users a fee for access).

Removing Your Content

You may remove your Content from Sleebi at any time. You also have the option to make a copy of your Content before removing it. You must remove your Content if you no longer have the rights required by these terms.

Starting deletion of your channel (in the channel's Studio page) hides it and all of your Content immediately and schedules permanent removal 24 hours later. The exact UTC datetime is emailed to you. Deletion can be cancelled during this 24-hour window. Your payment details will be kept to comply with tax laws, and pay out any remaining balance above $10. Hiding your channel is a non-permanent alternative.

Removal of Content By Sleebi

If we reasonably believe that any of your Content (1) is in breach of this Agreement or any other Terms or (2) may cause harm to Sleebi, our users, or third parties, we reserve the right to remove or take down some or all of such Content. We will notify you with the reason for our action unless we reasonably believe that to do so: (a) would violate the law or the direction of a legal enforcement authority, or would otherwise risk legal liability for Sleebi or any Affiliates; (b) would compromise an investigation or the integrity or operation of Sleebi; or (c) would cause harm to any user, other third party, Sleebi or any Affiliates.

MONETIZATION AND PAYMENT

Applicability

These Terms apply only where your Channel Content is displayed within the following parts of Sleebi:

• “Content Watch Page” means a page within the “Sleebi” website or app that is primarily dedicated to the description and playback of your Channel Content (but which may also show other recommended content or ads). For clarity, a “Content Watch Page” includes: (i) a page dedicated to your channel; and (ii) any feed of recommended content and ads shown on such page primarily dedicated to your Content; but does not include: (x) a search results page; and
• “Sleebi Video Player” means one or more digital media players made available by Sleebi, without charge, solely for displaying embedded Channel Content on websites or applications that are not part of Sleebi.

What we pay you

When you accept these Terms, Sleebi will pay you Creator Earnings, which are calculated in line with the following:

1. Revenue Calculations. Creator Earnings are calculated from the portion of Net Revenues that these Terms describe as being attributed to your Content. “Net Revenues” means the total amount of relevant revenues recognized by Sleebi under U.S. Generally Accepted Accounting Principles, net of any:
   1. Taxes collected or payable by Sleebi (e.g. sales tax). “Tax(es)” means all government-imposed tax obligations (including taxes, duties, and withholdings), except those based on net income, net worth, asset value, property value, or employment;
   2. refunds, chargebacks, or declined payments;
   3. fees payable to platform, device or other distribution partners; and
   4. costs associated with hosting of Content, capped to $0.005 (or local equivalent) per video per month;
2. Non-Qualifying Revenues. Sleebi may either: (i) withhold or adjust any Creator Earnings associated with a breach of the Terms (including “User Conduct” in the Sleebi Terms of Service) or (ii) charge back or offset such amounts against future Creator Earnings payable to you. Sleebi will notify you if any of these circumstances occur, and provide details about how you can appeal, in accordance with these policies.

Revenue Split

Sleebi will pay you a portion of Net Revenues, only where specified. The revenue split is determined by monthly brackets of Net Revenues. For the first US $3000 Sleebi will pay you 90%. For the range between US $3000 and US $10,000 Sleebi will pay you 80%. For anything above, Sleebi will pay you 70%.

Advertising Revenues

Sleebi will pay you the above split of Net Revenues from ads (if any) displayed or streamed by Sleebi or an authorized third party: (a) on your Content Watch Pages; or (b) in conjunction with the playback of your Content within the Sleebi Video Player.

Subscription Revenues

Sleebi will pay you the above split of the Net Revenues from subscription fees that are attributed to the monthly views of your Content on the: (a) Content Watch Pages; or (b) Sleebi Video Player. Subscription fees are attributed based on the views or watchtime your videos get in a month as a percentage of total views or watchtime from paid subscriptions.

When you will not be paid

Sleebi is not obligated to monetize your Content, including displaying any advertisements in connection with it, and may determine the type and format of ads and other forms of monetization available on Sleebi. In addition, you are not entitled to earn or receive Creator Earnings: (a) where associated with a breach of the Terms (including “User Conduct” in the Sleebi Terms of Service); (b) where Sleebi has suspended or terminated your access to parts of Sleebi under Section “Suspension or Termination of Monetization”; or (c) unless Sleebi has a specific obligation to share revenues with you under a Module that you have accepted (for example, you are not entitled to earn revenues in relation to ads shown on search result pages).

How we pay you

• Payment Account Requirement. In order to earn or receive Creator Earnings under these Terms, you must at all times have an active Stripe account associated with your Sleebi user account (or such other payment method as approved by Sleebi).
• Payment Process. Sleebi will pay you any Creator Earnings due under these Terms within fifty (50) days after the end of any calendar month, so long as your earned balance is at least US $90 (or its equivalent in local currency) when payment is due. Sleebi may, acting reasonably and with notice to you, delay payment of Creator Earnings in accordance with applicable policies, including: (i) for up to eighty (80) days while it investigates whether all or part of any such Creator Earnings are subject to withholding or other measures under Section “What we pay you” subsection “Non-Qualifying Revenues”; or (ii) until resolution of any third-party disputes relating to rights in your Content.
• Taxes. Net Revenues are calculated after any applicable viewer sales taxes or VAT are collected and remitted by Sleebi. You are responsible for your applicable income taxes, any other taxes you may be required to collect, and agree to provide required tax documentation (via Stripe) as needed for law compliance in a timely manner. Sleebi will withhold Taxes if legally required.

Changes to the Terms

We may need to make changes to the Terms, for example: (i) to reflect changes to Sleebi; (ii) for legal, regulatory or security reasons; or (iii) to prevent abuse or harm. If we change the Terms, such changes will only apply going forward and, except in urgent situations (such as preventing ongoing abuse or responding to legal requirements), we will provide you with at least 15 days’ advance notice and the opportunity to review the changes. If you do not agree to the update, you will be able to terminate the impacted terms or opt out or stop your use of the relevant part of Sleebi before the notice expires.

Disabling Monetization

You may disable monetization of your Content at any time by Removing Your Content (see above); as long as your videos are displayed on Sleebi, you have a right to your share of the revenue. If Sleebi runs ads in the future, you may disable these on your videos.

Suspension or Termination of Monetization

To ensure a fair and safe platform for all, Sleebi reserves the right to take action if you do not comply with the Terms (including “User Conduct” under the Sleebi Terms of Service). This may include:

• Immediate Suspension: Immediate suspension of monetization of all or a subset of your Content, along with access to any monetization tools Sleebi may provide.
• Permanent Termination: Permanent disabling of monetization by terminating your participation in the Sleebi Creator Program, either immediately or with 30 days' prior written notice, as required by applicable law.

In either case, we will notify you of the reason for enforcement and provide information on how to appeal.

Termination of these Terms

• Terminations for Convenience. Sleebi may terminate these Terms for convenience with 30 days prior notice to you. You may do the same without notice by deletion of your channel (see above). You may also exercise these rights if you do not agree with any changes we make to the Terms, as noted in Section “Changes to the Terms” above.
• Terminations for Cause. You may immediately terminate these Terms by notice if Sleebi commits a material breach. If Sleebi permanently disables monetization of all of your Content under Section “Suspension or Termination of Monetization” above, these Terms will be considered terminated.
• Effect of Termination. For clarity, where these Terms are terminated, the Sleebi Terms of Service will survive and continue to apply to any continued use of Sleebi by you. You will maintain access to any analytics obtained as part of your participation in the Sleebi Creator Program (if any), but any Channel Content will be hidden from the platform, and may be deleted.

Governing Law

The governing law and dispute resolution provisions of the Sleebi Terms of Service apply to these Terms.

Contradictory Terms

Where there is any conflict or contradiction between these Terms and the Sleebi Terms of Service, these Terms will apply.

Miscellaneous

Capitalized terms used but not defined in these Terms will have the meanings given to such terms in the Sleebi Terms of Service. These Terms replace all previous or current versions of the Sleebi Creator Agreement (or equivalent) between you and Sleebi. However, any separate agreement(s) that you may have entered into with Sleebi that amended or incorporated a previous version of the Sleebi Creator Agreement will be deemed to apply to these Terms. Except as modified by these Terms, the Sleebi Terms of Service remain in full force and effect. You may provide notice to Sleebi by emailing support@sleebi.net. Any notices by Sleebi will be delivered in accordance with the applicable policies.

You represent that: (i) you are at least 18 years of age, or (ii) you are the parent or guardian of a Sleebi Creator Program participant aged between 16 and 18 and are agreeing to these Terms on their behalf.
